HOLAdropshipping User Agreement

HOLA Dropshipping (“HOLA,” “we,” “our,” or “us”) is committed to providing you with a secure, stable, and fair platform for accessing and using our products and services. To support this commitment, this User Agreement—together with all supplementary terms and policies referenced herein—constitutes the complete and exclusive agreement governing your access to and use of the HOLA website, application, and services. This Agreement supersedes any prior written or oral understandings relating to the same subject matter.

Before clicking “Agree” during the registration process, please read this Agreement carefully. You must fully understand all terms, including provisions concerning disclaimers, limitations of liability, governing law, and dispute resolution. Certain clauses may be highlighted or emphasized to draw your attention. If you have any questions, you may contact HOLA’s support team for assistance.

By choosing to use HOLA’s services—including all information, data, tools, and products made available through our website or application—you acknowledge and agree that you have read, understood, and accepted:
1. This User Agreement,
2. All associated policies and statements referenced on the HOLA Dropshipping website, and
3. Any additional terms presented through hyperlinks or integrated documents.

When you register on the HOLA website or make purchases through our platform, you are deemed to be using our “Services,” and you agree to comply with all applicable terms, conditions, and policies. These Terms of Use apply to all categories of users, including but not limited to visitors, suppliers, merchants, partners, and content contributors.
If you do not agree to any part of this Agreement, you may not access or use the HOLA website, application, or any related services. If these Terms of Use are considered an offer, your acceptance is expressly limited to the terms set forth herein.

Any new features, functionalities, or tools added to the current website or application shall also be governed by this User Agreement. The latest version of this Agreement is always available on this page.
We reserve the right to update, amend, or replace any part of this Agreement by posting revisions on the HOLA website. You are responsible for reviewing changes regularly. For material updates, HOLA will notify you via email or website announcements. Your continued use of HOLA’s website or services after such updates are posted constitutes your acceptance of the revised terms.

In the event of any inconsistency between the different language versions of this Agreement and its supplementary documents, the Simplified Chinese version shall prevail and have superior legal effect.

By creating a HOLA Account (as defined in Section III of this Agreement) or using any HOLA Services (as defined below), you acknowledge and agree that you are entering into a binding contract with HOLA and shall be bound by this User Agreement in its entirety. If you do not agree to this Agreement or any of its terms, you must immediately cease the registration process and discontinue all use of HOLA’s Services.

Due to the rapid development of the Internet and continuous evolution of our services, this Agreement cannot exhaustively enumerate all rights and obligations between you and HOLA, nor anticipate every future service scenario. Therefore, HOLA’s Legal Statement, Privacy Policy, Platform Rules, Dispute Resolution Policy, and other supplementary documents shall constitute integral parts of this Agreement. These supplementary terms have the same legal effect as this Agreement.
By using HOLA’s Services, you acknowledge that you have read, understood, and agreed to all such supplementary agreements.

For the purposes of this Agreement and all supplementary rules, the following terms shall have the meanings set forth below:
1. “We,” “HOLA,” or “HOLA Company”
Refers to HOLAdropshipping, the HOLA platform, the HOLA-operated website, and any affiliated entities providing services under the HOLA name.
2. “HOLA Services” or “Services”
Refers to the products, tools, functionalities, and services provided to you by HOLA through the website, email, or other Internet-based platforms (including any new service forms developed based on future technological advancements).
3. “HOLA Rules”
Refers to all rules, terms, policies, and announcements published or updated by HOLA via the website, email, or other official channels, including but not limited to the Terms of Use, Dispute Policy, Applicable Law and Jurisdiction Policy, Disclaimers, and other supplementary agreements or operational guidelines.
4. “HOLA User,” “User,” or “You”
Refers to any natural person, legal entity, or unincorporated organization that legally registers on HOLA and agrees to comply with this Agreement and all supplementary policies.
5. “HOLA Account”
Refers to the account lawfully registered and maintained by a HOLA User through the HOLA platform.
6. “Singular/Plural”
Words in the singular shall include the plural, and words in the plural shall include the singular, unless the context clearly indicates otherwise.
7. “Devices”
Refers to mobile phones, personal computers, tablets, or any other devices used to access or interact with the HOLAdropshipping website or HOLA Services.
8. “Personal Data”
Refers to information required for registering, accessing, browsing, or using HOLA Services, as well as any personal information generated during your use of the Services.
9. “Service Provider”
Refers to any third-party company or individual engaged by HOLA to provide services on behalf of HOLA.
10. “Third-Party Service Provider” or “HOLA Partner”
Refers to any natural person, legal entity, or unincorporated organization other than HOLA that provides services, software, solutions, or products to you through or in connection with HOLA Services.
11. “Usage Data”
Refers to data automatically generated during your access to the website or use of HOLA Services, including but not limited to log information, device data, access timestamps, and interactions with platform features.

1. Capacity to Use HOLA Services
You confirm that, before registering with HOLA or using any HOLA Services, you possess the civil capacity required under the laws of China or the applicable laws of your country or region (either condition being sufficient). If you do not meet the required capacity, you must immediately terminate the registration process and discontinue the use of HOLA Services.
2. Compliance Obligations
When accessing the HOLA website or using HOLA Services, you agree to comply with all applicable laws, regulations, agreements, policies, and platform rules.
3. Privacy Policy
You confirm that you have carefully read and understood HOLA’s Privacy Policy, which governs the collection, use, storage, disclosure, and protection of your personal information by HOLA and its affiliates. By using HOLA Services, you agree to all provisions of the Privacy Policy and authorize HOLA to access, use, disclose, and share your personal information in accordance with the Privacy Policy.
4. Use of HOLA Content
All content, materials, and information obtained through the HOLA website shall only be used for purposes expressly permitted by HOLA. You shall not use such content for any unauthorized or illegal purposes.
5. Third-Party Websites and Services
You may access third-party content, products, or services through hyperlinks (including text links, banners, or other channels), APIs, or other means. Before using such third-party services, you should read their respective terms and privacy policies.
You understand that HOLA does not control or monitor third-party websites, and HOLA shall not be responsible for any content, products, or services provided by such third parties.
6. System and Network Integrity
You shall not engage in any conduct that may damage the integrity of HOLA’s computer systems or networks, nor shall you attempt to access such systems or networks without authorization.
7. Feedback System Integrity
You shall not interfere with or undermine the integrity of HOLA’s feedback system, including but not limited to:
• posting positive feedback for your own account through a third party or secondary user ID, or
• posting unverified or malicious negative feedback toward other users.
8. Headings and Index Terms
You acknowledge that the headings and index terms used in this Agreement are for reference and convenience only. They shall not affect or limit the meaning or interpretation of any terms of this Agreement. You should carefully review the specific content of each clause to protect your rights and interests.
9. Independent Contractors
You and HOLA are independent contractors. Nothing in this Agreement shall be construed as establishing any agency, partnership, joint venture, employment, or franchise relationship between you and HOLA.
10. Severability
If any provision of this Agreement is held to be invalid or unenforceable by a court or competent authority, such provision shall be removed, and the remaining provisions shall continue in full force and effect.
11. No Waiver
Failure or delay by HOLA in exercising any right under this Agreement shall not constitute a waiver of such right.
12. Assignment
HOLA reserves the right to assign this Agreement (including all rights, obligations, and interests) to any individual or entity (including any affiliate of HOLA). You may not assign this Agreement or any portion thereof to any third party.
13. Anti-Bribery
Offering any benefits—including but not limited to goods, cash, cash equivalents, services, or travel—that clearly exceed normal business courtesy to HOLA’s employees or consultants (or those of its affiliates) may constitute commercial bribery.
In such cases, HOLA may immediately terminate its cooperation with you and claim liquidated damages and/or compensation based on the economic loss and goodwill impairment caused by such conduct.
14. Risk Disclosure for Dropshipping Products
Before placing any order on HOLA, you are responsible for carefully reviewing the product details and making an independent judgment based on your own risk tolerance. Key risks include:

(1) Compliance Differences
Product standards relating to quality, safety, health, environmental protection, and labeling in the country/region of origin (primarily China) may differ from or conflict with those of your country. You must identify and assume related risks.

(2) Language Labeling
Some products shipped from the China may not include labeling in your local language.

(3) Intellectual Property Regionality
Certain products may comply with intellectual property laws in China but may infringe intellectual property rights in your jurisdiction. You must independently assess and bear such risks and waive any related claims against HOLA.
15. Processing Time and Supply Chain Constraints
Due to manufacturing limitations, trending product demand, or peak-season congestion, certain products may require longer processing or procurement times. In such cases, a HOLA Agent will communicate with you, and refunds or other actions will be taken upon mutual agreement.

1. Civil Capacity
Before registering for or using HOLA Services, you confirm that you possess the civil capacity required under the laws of the United Kingdom or the laws of your own country (either one is sufficient). If you do not meet such capacity requirements, you must immediately cease registration and discontinue use of HOLA Services.
2. Account Ownership
Upon successful registration, an account will be created for you. The ownership of the account belongs to HOLA, and you are granted only a limited right to use the account during the term of this Agreement. Without HOLA’s prior written consent, your account may not be transferred, assigned, donated, lent, sold, authorized, leased, or jointly used by any third party.
3. Information Accuracy
You must provide necessary information—including but not limited to username, full name, email address, country, contact information, delivery address, and bank account details—during registration or when using your HOLA account. You must ensure that all information provided is truthful, accurate, and complete. Failure to do so may result in restrictions or termination of your account, and you will bear all liabilities arising from providing false, inaccurate, or incomplete information.
4. Verification and Updates
After registration, HOLA reserves the right to determine whether to provide services to you based on the authenticity, accuracy, and completeness of the information you submitted and whether such information satisfies the conditions of this Agreement. You must promptly update your information if any changes occur during your use of the account.
5. Interoperability with Third Parties
Your HOLA account may be interoperable with websites, applications, or third-party platforms operated by HOLA, its affiliates, or partners. When using your account to access such services, you must also comply with the respective service agreements.
6. Account Security
Your account password is an essential security credential. You are responsible for safeguarding your username and password and must not share or allow others to use your account. Any activity conducted through your account will be deemed your own, and any operation records generated will serve as valid proof of your actions.
7. Data Protection
HOLA will encrypt your password and implement reasonable security measures to protect your information from loss, misuse, or alteration. However, no system is entirely secure, and you must take appropriate measures to protect your personal information and avoid disclosure unless necessary.
8. Compromised Information
If you discover that your personal information—especially your username or password—has been compromised, you must contact HOLA immediately so appropriate action can be taken.
9. Unauthorized Use
If you detect any unauthorized use of your account or password, or any other security breach, you must notify HOLA immediately. You acknowledge that HOLA requires reasonable time to act and that actions taken may not fully prevent or mitigate potential consequences. HOLA is not liable except in cases of statutory fault.
10. Authorized Activities
All activities conducted through your account—including publishing information, accepting agreements, subscribing to or paying for services, or sending emails/SMS—shall be deemed as actions authorized by you.
11. Multiple Users
You acknowledge that allowing multiple users other than your business entity to use your account (“Multiple Uses”) may cause irreparable harm to HOLA or other users. HOLA will not compensate for any loss you incur due to such misuse. If Multiple Uses cause losses to HOLA or other users, HOLA has the right to claim compensation and may unilaterally suspend or terminate your account without liability.
12. Negative Impact on HOLA
HOLA may unilaterally suspend or terminate your account and claim compensation if your actions negatively affect HOLA, including but not limited to:
a. Publishing false or misleading statements on HOLA or other platforms;
b. Initiating disputes on third-party platforms such as Stripe or PayPal without first communicating with HOLA.
13. Data Storage
Your personal information and account data will be stored and encrypted by HOLA with your authorization. Please refer to the Privacy Policy for detailed information.
14. Promotional Information
You agree that HOLA may send, display, or promote information (commercial or non-commercial) from HOLA or third-party advertisers in accordance with applicable laws. You may adjust your settings to enable, disable, or reduce certain types of advertisements or notifications.
15. Payment Methods
HOLA supports payment methods including HOLA Wallet, credit cards, PayPal, Payoneer, and other supported payment methods.
16. Security Measures
HOLA may implement security measures—such as login restrictions—if abnormal activity is detected on your account based on data analysis and security assessment.
17. Account Termination for Abuse
Your account will be immediately terminated if you engage in any form of verbal or written abuse, including threats or retaliation, toward any HOLA user, employee, or affiliated member.

HOLA Dropshipping (“HOLA”) was registered in 2019. HOLA focuses on dropshipping, primarily serving vendors on Shopify, WooCommerce. These vendors concentrate on marketing, while HOLA provides product sourcing, order processing, and shipping services.

As one of the leading dropshipping companies in China, HOLA offers products distributed worldwide and is committed to meeting user needs while maintaining high competitiveness. HOLA continues to provide a high standard of service.

In addition to dropshipping, HOLA provides the following services. Please refer to the latest version of the scope of services published on HOLA for updated details.

1. Products

HOLA offers a variety of products with associated information, including product attributes, descriptions, inventory, prices, and more. HOLA reserves the right to update or change product information at any time, including but not limited to descriptions, attributes, inventory quantity, and prices.
All product information is subject to the real-time data displayed on the HOLA website. Users should carefully review product information before placing an order.

2. Sourcing Service

You may submit a product sourcing request to HOLA by providing relevant images, links, or text descriptions. HOLA will attempt to locate the requested product within a specified timeframe (typically two business days).

You acknowledge that, due to incomplete or inaccurate product information provided by you, the sourcing result may differ from your expectations. The final product details and condition shall be based on the actual product delivered.

3. Order Processing

HOLA offers multiple methods to place and manage orders:
1. Order Synchronization – Orders from your authorized store will be synchronized with HOLA.
2. CSV Order Upload – Download a template from HOLA and upload orders via Excel to place them.
3. Manual Order Creation – Orders can be placed directly on the HOLA platform.
4. Order Splitting – Orders can be split into multiple shipments based on transport requirements.
5. Order Combination – Multiple orders may be combined into a single shipment.
6. Automatic Invoice – HOLA will automatically generate invoices upon successful payment.

4. Store Management Services

HOLA provides services to manage multiple stores, transfer stores, and set up sub-accounts for integrated management:
1. One-Click Listing – You can list HOLA products on your authorized stores. You are responsible for updating store product information as HOLA product details may change. HOLA is not responsible for disputes arising from outdated store information.
2. Product Connection – You can link your store products with HOLA products. You must update store product information promptly, as HOLA product information may change at any time. HOLA is not liable for disputes arising from such updates.

5. Order Fulfillment

You may ship products to HOLA for storage and HOLA will handle order fulfillment and shipping on your behalf.

6. Shipping Service

HOLA provides shipping services with tracking information. Detailed shipping terms and options are provided in the Shipping Service section on HOLA.

7. Global Warehousing

HOLA offers global warehouse solutions, including local delivery and private inventory management for users.

8. Print on Demand (POD) Service

HOLA provides Print on Demand services. Customized products cannot be returned or replaced except in cases of quality issues.

9. Customized Packaging

HOLA offers customized packaging services. Products with customized packaging cannot be returned or replaced except in cases of quality issues.

10. Affiliate Program

Users may register to become partners of HOLA and participate in HOLA’s affiliate program according to the applicable terms.

HOLA provides its platform and basic services free of charge, except for fees explicitly stated by HOLA (such as withdrawal fees), even though offering such services incurs substantial operational costs for HOLA. In the event that HOLA introduces any new reasonable fees in the future, HOLA will take appropriate measures to notify you in advance through legally recognized channels, providing sufficient time for you to make an informed choice.

You may enjoy the following free services:
• Downloading the HOLA application;
• Browsing the HOLA website;
• Registering on HOLA without credit card requirements;
• Listing products on your store at no cost;
• Linking products from your store to HOLA.

HOLA guarantees that no additional fees will be charged for the use of HOLA products. Fees will apply only when you place orders or use certain specified services.

These fees may include, but are not limited to:
• Product fees and shipping costs;
• Video and photography production fees;
• Customized packaging fees;
• Private inventory fees (prepaid product fees);
• Sourcing service fees (enhanced sourcing requests);
• Supplier service fees;
• Quality inspection fees for order fulfillment.

Due to system instability or frequent updates, errors in order amount calculation or order status updates may occur. In such cases:
1. Order amount errors – HOLA reserves the right to recover any missing amounts and is obligated to return any miscalculated amounts;
2. Order status update errors – HOLA will resolve such errors within 1–2 business days.

1. Credit Top-Up

HOLA provides a top-up service, allowing you to pay for orders or other HOLA services via your HOLA Wallet.

2. Top-Up Currency

Top-ups are accepted in USD only.

3. Bonuses

HOLA may offer bonus rewards when you top up a certain amount. The following Payoneer top-up bonus policies apply, but are subject to change. Please refer to the latest announcement on HOLA for current terms:

• Top up $1,000 → Extra $20 bonus

Notes:
• Bonuses can only be used for HOLA order payments or services.
• Only the original top-up amount is withdrawable; bonus amounts cannot be withdrawn.
• If you withdraw your top-up, the bonus is deducted first, and remaining balance goes to your original payment account.
• Example: Top up $5,000 → Wallet balance $5,200. After using $5,000, the remaining $200 bonus is non-withdrawable, usable only on HOLA.

4. Cash Withdrawal

Withdrawals can only be made in USD. HOLA charges a 1-5% service fee on each withdrawal. The processing time is typically 1–5 business days.

Note: If the withdrawal involves currency conversion from other currencies to USD, the exchange rate applied will be the real-time rate, and the user assumes any resulting exchange rate losses.

5. Withdrawal Method

HOLA supports withdrawals to your original payment account within 1–5 business days. Supported accounts include, but are not limited to: Payoneer, PayPal, and credit card accounts.

6. Top-Up Method

Currently, HOLA supports top-ups via Payoneer, PayPal, Credit Cards, and Debit Cards.

7. Balance Deduction

When your wallet balance exceeds the order amount, the balance will be automatically deducted. In case of refunds, the refunded amount will be returned to your HOLA Wallet balance.

1. Shipping Instructions

You may select the shipping method when placing an order. HOLA primarily provides shipping via Yunexpress, DHL, and other available carriers. Different shipping methods have varying costs and delivery times. You should select the appropriate method based on the HOLA Shipping Calculation.

2. Shipping Cost Prepaid

When placing an order, HOLA charges the estimated shipping cost in advance. Due to variations in product weight, dimensions, or other factors, the actual shipping cost may differ. If the actual shipping cost exceeds the prepaid amount, HOLA reserves the right to charge the difference.

3. Remote Countries

For shipments to certain remote countries or regions, tracking information may be unavailable at times. These destinations often rely on slower postal services with limited flights. Packages may remain in transit without tracking updates. Users should first contact local post offices for inquiries. Tracking information available on third-party websites cannot always be further inquired or expedited. In case of disputes, HOLA’s dispute policy shall serve as a reference for resolution.

4. Customs Clearance

Customs clearance may be slow or difficult in certain remote countries, including but not limited to: Haiti, Kyrgyzstan, Madagascar, Mauritius, Bangladesh, Nepal, Nicaragua, Swaziland, Jamaica, Zambia, Ecuador, Peru, Bolivia, Chile, Argentina, Uruguay, Egypt, Sudan, Libya, Algeria, Angola, Bahamas, Benin, Belize, Burundi, Dominican Republic, Gambia, Grenada, Cuba, Palestine, Paraguay, Guatemala, Reunion, Puerto Rico, Hawaii, Alaska, Guadeloupe, Martinique, and French Guiana. Users should consult the refund policy when opening disputes related to customs delays.

5. Shipping Tracking

You may track shipments using the tracking information provided by HOLA or through third-party tracking websites. For some remote countries, tracking may be unavailable. Users are advised to contact local post offices for further information.

6. Price Change

HOLA may adjust shipping costs periodically or seasonally according to carrier pricing. You may refer to HOLA Shipping Calculation for current rates.

7. Oversized Products

Oversized products are defined as items whose volumetric weight exceeds their actual weight. Volumetric weight can be calculated using HOLA Shipping Calculation.

Shipping Cost Difference: If the volumetric weight results in higher shipping costs than initially estimated, HOLA reserves the right to charge the additional cost, which you are required to pay.

8. Reshipment

If packages are returned to the sender or carrier due to your actions (e.g., incorrect address, recipient unavailable, failure to contact recipient), HOLA will notify you and may charge for reshipment if the carrier provides such service. Otherwise, you bear the resulting loss.

9. Remote Fee

HOLA reserves the right to charge additional fees for shipments to certain remote locations to ensure proper order fulfillment.

10. Limitation of Liability

HOLA shall not be liable for any damage, loss, delay, or non-delivery resulting from the following:
1. Force Majeure: Unpredictable, uncontrollable, or unavoidable events, including but not limited to natural disasters (earthquake, fire, snowstorm, storm, fog, severe weather), strikes, terrorist acts, traffic accidents, changes in regulations, government or judicial orders, and violent crimes.
2. Product Characteristics: Damage arising from natural characteristics, inherent defects, or reasonable wear and tear of the goods.
3. Customer Actions: Delays or non-delivery caused by the customer, including failure to contact the recipient or incorrect delivery address.

If packages cannot be delivered due to customer-related reasons, HOLA will provide free storage where available from the overseas carrier. You must arrange timely pickup through your HOLA agent. Any additional costs incurred are your responsibility. If the package remains undelivered after the free storage period, HOLA reserves the right to dispose of the package, and no refund will be issued.

1. Consent and Authorization
HOLA may send emails and push notifications to you after obtaining your authorization. You have the right to unsubscribe at any time by using the unsubscribe function provided in such communications.
2. Content of Communications
Emails and push notifications may include, but are not limited to, marketing messages, product recommendations, shipping cost updates, account notifications, and other relevant information.
3. Limitation of Liability
HOLA shall not be liable for any loss, damage, or consequence resulting from your failure to read, access, or act upon any emails or push notifications sent by HOLA.

You agree to use HOLA Services in a reasonable and lawful manner and to comply with this Agreement, HOLA Rules, Privacy Policy, and any other policies, rules, or announcements issued by HOLA.

1. Proper Use of HOLA Services

You shall use HOLA Services only within the scope authorized herein. You shall not use HOLA Services to engage in any of the following activities:
1. Unauthorized or Malicious Use
• Using HOLA Services beyond your authorization or for malicious purposes.
2. Compliance with Laws and Morality
• You warrant that in using HOLA Services, you will comply with applicable national and local laws, industry practices, and social and public moral standards. You shall not use HOLA Services to store, distribute, or publish any information or content that:
a. Jeopardizes national security (China or other countries) or threatens national unity or social stability;
b. Insults, slanders, or infringes on the lawful rights of others;
c. Contains obscenity, pornography, gambling, violence, murder, or terrorism;
d. Constitutes illegal advertising, marketing spam, or messages. Usernames containing such content are also prohibited.
3. Intellectual Property and Privacy
• You shall not use HOLA Services to infringe on the intellectual property rights, portrait rights, privacy rights, reputation rights, or personal information of others.
4. Fabrication or Misrepresentation
• You shall not maliciously fabricate or assist in fabricating facts, reviews, or other information.
5. Network and System Security
• You shall not use HOLA Services to engage in any illegal activity or compromise network security, including but not limited to:
a. Using unauthorized data or accessing unauthorized servers/accounts;
b. Accessing public or private computer systems without permission, or deleting, modifying, or adding stored information;
c. Probing, scanning, or testing system or network vulnerabilities without authorization;
d. Interfering with or disrupting HOLA’s software systems or network operations, spreading malicious programs or viruses;
e. Forging TCP/IP packet names or components;
f. Uploading viruses, Trojans, worms, or other harmful content.
6. Software Integrity
• You shall not reverse engineer, decompile, disassemble, modify, adapt, translate, or attempt to discover the source code of HOLA, nor create derivative works without written permission. You shall not remove ownership statements or labels, or merge other software with HOLA.
7. Exploitation and Automation
• You shall not use plug-ins, scripts, bots, or exploit program loopholes to gain unauthorized benefits.

2. Restrictions on Content and Data Usage

Without HOLA’s written permission, you shall not, and shall not authorize or assist any third party to:
1. Copy, read, or commercially use content from HOLA.
2. Edit, organize, or display HOLA content through channels other than the source page.
3. Generate artificial data flows, reading volume, or transaction guidance, or transfer or hijack content on HOLA.

3. API Usage
1. You shall provide HOLA with relevant interface account passwords or store account information as required.
2. You are fully responsible for any customer disputes arising from API failures, incorrect interface settings, missing verification, or other transmission issues that are not remedied after HOLA notification.
3. If your platform’s API or related functions are updated, you shall promptly notify HOLA and assist in corresponding optimizations.

1. Third-Party Services
